Welcome to VibeCentral! These Terms of Service (“Terms”) govern your use of the VibeCentral website and related services (the “Service”). By using the Service, you agree to these Terms, our Privacy Policy [Link to Privacy Policy], and our Community Guidelines. If you don’t agree, please don’t use the Service. “We,” “us,” and “our” refer to VibeCentral.
1. Your Account You need an account for many activities on the Service. You must provide accurate information and be at least 13 years old (or older if required by your local laws). You are responsible for your account’s security and all activity under it. Notify us immediately at contact@vibecentral.ai if you suspect unauthorized use. We can suspend or terminate your account anytime for violating these Terms or our Community Guidelines.
2. User Content & Conduct
- Your Content, Your Responsibility: You are responsible for all content (text, images, videos, designs, code, links, etc. – “User Content”) you post. You must own or have all necessary rights (including copyrights, trademarks, and permissions) to post your User Content. Posting content you don’t have rights to is prohibited.
- License You Grant Us: To operate and improve the Service, when you post User Content, you grant VibeCentral a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify (e.g., for technical formatting), distribute, publish, publicly display, and create derivative works from your User Content. This license is solely for enabling us to provide, promote, and improve the Service.
- Prohibited Content & Actions: You agree not to post User Content or engage in conduct that violates our Community Guidelines [Link to Community Guidelines] or these Terms. This includes, but is not limited to:
- Illegal, harmful, fraudulent, infringing, harassing, defamatory, obscene, or discriminatory content.
- Violating intellectual property rights (copyright, trademark, patent, trade secret) of others.
- Spamming, phishing, distributing malware, or attempting to disrupt or compromise the Service or other users’ security.
- Impersonating others or submitting false information.
- Respecting Intellectual Property / DMCA: We respect intellectual property rights and expect you to do the same. If you believe your copyright has been infringed on the Service, please send a notice compliant with the Digital Millennium Copyright Act (DMCA) to
contact@vibecentral.aiincluding: (a) identification of the copyrighted work, (b) identification of the infringing material and its location, (c) your contact information, (d) a statement of good faith belief that the use is unauthorized, (e) a statement under penalty of perjury that you are authorized to act for the copyright owner, and (f) your physical or electronic signature. - Our Rights: We don’t actively screen all User Content, but we reserve the right to remove any User Content, suspend or terminate accounts, or take other appropriate action for any reason, especially for violations of these Terms or our Community Guidelines, without prior notice.
3. Our Intellectual Property The Service itself, including its “look and feel,” code, logos, trademarks, and all original content (excluding User Content), is owned by VibeCentral and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code, without our express written permission.
4. Disclaimers and Limitation of Liability
- “As Is” Service: The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We don’t guarantee the Service will be uninterrupted, secure, error-free, or that User Content will be accurate or reliable.
- Limitation of Liability: To the fullest extent permitted by law, VibeCentral (and its affiliates, officers, employees, agents) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorized access, use, or alteration of your content. In no event shall VibeCentral’s aggregate liability exceed the greater of one hundred U.S. dollars ($100.00) or the amount you paid VibeCentral, if any, in the past six months for the services giving rise to the claim.
5. Termination We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms. You can stop using the Service at any time.
6. Changes to These Terms We may revise these Terms from time to time. The most current version will always be on the VibeCentral website. If a revision is material, we will try to provide reasonable notice. By continuing to use the Service after revisions become effective, you agree to be bound by the revised Terms.
7. Governing Law and Disputes These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law rules. Any legal action or proceeding related to the Service must be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the jurisdiction of those courts.
8. Miscellaneous These Terms (along with the Privacy Policy and Community Guidelines) constitute the entire agreement between you and VibeCentral concerning the Service. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of those rights. You may not assign your rights or obligations under these Terms without our consent. We may assign our rights and obligations without restriction.
